These terms, including the End User License Agreement (the "Agreement") below, govern your use of all dbdsp audio software — including NeuralOutboard and any future products we release. In this Agreement, "the Software" means whichever dbdsp audio product you download, purchase, or use. Our products are sold and delivered by Lemon Squeezy, our authorized reseller and Merchant of Record, so your purchase is also subject to Lemon Squeezy's terms of service. Where a specific product includes its own additional notices or terms (for example, the third-party license notices delivered with that product), those apply to that product in addition to this Agreement. Please also review our Refund Policy and Privacy Policy.
Please read this Agreement carefully. By downloading, installing, copying, or using the Software, you ("Licensee" or "you") agree to be bound by this Agreement. If you do not agree, do not download, install, or use the Software.
1.License Grant
Subject to your compliance with this Agreement and payment of the applicable fee (or a valid trial license), Licensor grants you a non-exclusive, non-transferable, revocable license to install and use the Software for the creation, production, and performance of audio and music.
The Software is licensed to a single user. You may install and activate it on up to three (3) computers that you own or control, for your own use, at any one time, unless a different limit is stated for a specific product (trial licenses: one computer). You may deactivate a computer — using the license-management function in the Software or by contacting Licensor — to free an activation for use on another machine. A purchased license does not expire for the Software version it was issued for, but remains subject to termination for breach under Section 8. Licenses for multiple users, teams, or sites require a separate written arrangement with Licensor.
2.Restrictions
You shall not, and shall not permit any third party to:
- copy the Software (except for one backup copy), or distribute, resell, rent, lease, lend, sublicense, share, or otherwise make the Software available to any third party;
- share, publish, post, or distribute any license key, code, or credential associated with the Software, or use a trial license to avoid payment for continued use;
- reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code, except to the extent this restriction is expressly prohibited by applicable law;
- modify, adapt, translate, or create derivative works of the Software (this does not restrict your rights in the open-source components — see Section 3);
- remove, alter, or obscure any copyright, trademark, or other proprietary notices;
- use the Software, in whole or in part, to design, develop, or distribute a competing product.
3.Ownership and Third-Party Software
The Software is licensed, not sold. Licensor and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. You receive only the limited rights expressly granted in this Agreement.
The Software incorporates third-party open-source components that are licensed under their own terms, set out in the accompanying "Third-Party Software Notices and Licenses" file distributed with the Software. Nothing in this Agreement limits, supersedes, or modifies the terms of those open-source licenses; to the extent of any conflict, those licenses govern with respect to their components.
4.Your Content, Presets, and Files
Where a product supports it, the Software loads user-provided files (such as audio files and, in products that use them, neural model files) and saves preset files locally on your computer. You are solely responsible for the files you load and for ensuring you have the rights to use them. Licensor claims no ownership of, and assumes no responsibility for, your presets or any file or content you load.
5.Updates and Support
Licensor may, at its sole discretion, provide updates, bug fixes, or new versions of the Software, but has no obligation to do so. Any support is provided at Licensor's discretion via info@dbdspaudio.com. Updates, if provided, are subject to this Agreement unless accompanied by a separate license.
6.Privacy and Data
The Software contains no telemetry and does not track or collect your usage or personal data. It reads and writes files locally on your computer. A product may connect to the internet only for the following two purposes:
- License validation. To validate your license — including expansion-pack licenses — with our reseller (Lemon Squeezy) when you activate it and periodically thereafter to re-verify it.
- Update check. At most once per day, to fetch a small version file from Licensor's website (dbdspaudio.com) so the Software can tell you when a newer version is available. This is a standard web request; like any web request it necessarily discloses your IP address and a generic software identifier to the web server, but it contains no account, usage, audio, or other personal data, and Licensor does not use it to identify or profile you.
No usage or personal information is transmitted by the Software for any other purpose. If your computer is offline, these checks fail silently and the Software continues to operate (license activation requires a connection; activated licenses include a reasonable offline grace period). Your purchase transaction is handled separately by the reseller named in Section 7. See our Privacy Policy for details.
7.Purchase, Delivery, and Refunds
The Software is sold and delivered electronically through Lemon Squeezy, which acts as the authorized reseller and Merchant of Record for your purchase. Your transaction is therefore also subject to the reseller's terms of service and refund policy.
Each product is offered with a free trial so you can evaluate it before purchase. Because the Software is delivered electronically, all sales are final except where a refund is provided under our Refund Policy, the reseller's policy, or as required by applicable law. Where mandatory consumer-protection law grants you statutory rights (for example, a right of withdrawal for digital purchases), those rights are not affected by this Section.
8.Term and Termination
This Agreement is effective until terminated. It terminates automatically, without notice, if you breach any of its terms. Upon termination, you must immediately cease all use of the Software and delete or uninstall all copies in your possession or control. Sections 2–4 and 9–13 survive termination.
9.Assumption of Risk; User Responsibilities
You are responsible for the proper installation, configuration, and use of the Software, and for determining whether it is suitable for your intended purpose. In particular, you agree that:
- Testing. You will evaluate and test the Software in your own environment before relying on it for any important, time-sensitive, or professional work.
- Backups. You are solely responsible for maintaining current backups of your projects, audio, presets, and other data, and for taking reasonable precautions to protect your computer and files. Licensor is not responsible for any loss of data, projects, or work.
- Proper use. Licensor is not liable for any damage, loss, or issue arising from misuse of the Software, use contrary to this Agreement or the documentation, your modification of the Software, or use of the Software with incompatible hardware, operating systems, host applications, or third-party software.
- Hearing and equipment safety. Audio software can produce sudden, loud, or unexpected output levels (for example when changing settings, loading models or presets, or using gain, monitoring, or bypass functions). Always begin at low monitoring levels and protect your hearing, speakers, and other equipment. Licensor is not liable for hearing damage or equipment damage resulting from output levels.
- Not for high-risk use. The Software is a creative audio tool. It is not designed, intended, or authorized for use in any application where its failure or malfunction could lead to death, personal injury, or physical or environmental damage — including, without limitation, medical or life-support systems, aviation, automotive control, nuclear facilities, or any other safety-critical system. You assume all risk of using the Software in any such manner.
You acknowledge that all software may contain errors, and you assume the entire risk as to the results, performance, reliability, and suitability of the Software for your purposes.
10.Disclaimer of Warranty
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPATIBLE WITH ANY PARTICULAR HOST, HARDWARE, OR SYSTEM. THE ENTIRE RISK AS TO QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH YOU. Some jurisdictions do not allow the exclusion of certain implied warranties, so some of the above exclusions may not apply to you.
11.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY. LICENSOR'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE SOFTWARE. NOTHING IN THIS AGREEMENT EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW (FOR EXAMPLE, LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE).
12.Governing Law
This Agreement is governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict-of-laws principles. Mandatory consumer-protection laws of the buyer's country of residence may still apply.
13.General
This Agreement is the entire agreement between you and Licensor regarding the Software and supersedes any prior understandings. If any provision is held unenforceable, the remaining provisions remain in full effect. Licensor's failure to enforce any provision is not a waiver. You may not assign this Agreement without Licensor's prior written consent. Licensor may update this Agreement for future versions of the Software; the version accompanying your installed Software governs your use of it.
